Terms of Service

1. Acceptance of These Terms

By using this website or by engaging our trading desk, you agree to be bound by these Terms of Service. If you do not agree with any part of the terms, you should stop using the website and should not place an order.

These terms apply together with any order confirmation, sample acknowledgement or written agreement that we issue for a particular transaction. If a written agreement conflicts with these terms, the written agreement takes priority for that transaction only.

You confirm that you have the authority to accept these terms on behalf of yourself and, where relevant, on behalf of the trading house or restaurant group that you represent.

2. Definitions Used in These Terms

In these terms, the words below carry the meanings given to them. The definitions apply wherever the words appear, whether in the singular or the plural.

• The company, we and us mean Lianxin Taifu Company Limited.
• You, the buyer and the visitor mean the person or trading house using the website or ordering from us.
• The website means the pages served from the domain operated by the company.
• A line means a glassware item, a cutlery piece or a hotel table item that we carry.
• A sample means a physical example of a line that we present for approval.
• An order means a request to supply goods that we have confirmed in writing.
• A chip check means the inspection that we carry out before dispatch.
• A table pack means a coordinated set of glassware, cutlery and table extras.

3. Eligibility and Trade Use

Our services are offered for trade use. A buyer should be a restaurant, hotel, catering business, trading house or other commercial purchaser that is able to enter into a binding contract.

By placing an order, a buyer confirms that the buyer has the legal capacity to do so and that the detail supplied is accurate. We may ask for reasonable evidence of a trade identity before we confirm a first order.

We may decline an order or close a trade account where we have a reasonable ground to do so. A ground may include a risk of non payment, a breach of these terms or a request that would require us to act unlawfully.

4. Permitted Use of the Website

We grant a visitor a limited, revocable and non exclusive right to read the website and to use the contact tools for a genuine trade purpose. The right does not extend to any commercial copying of the website.

The following uses are not permitted.

• Copying a substantial part of the website for a competing service.
• Automated scraping that places an unreasonable load on our systems.
• Attempting to gain access to a part of the website that is not public.
• Introducing a virus, a worm or any other harmful code.
• Using the contact form to send unsolicited advertising to our desk.

We may take a technical step to stop a use that breaches this section, and we may seek a remedy where a breach causes loss.

5. Trade Accounts and Buyer Detail

A returning buyer may hold a trade account with us. An account holds the buyer contact detail, the approved sample references and the order history that allows a reorder to match an earlier delivery.

A buyer is responsible for keeping the account detail current and for telling us promptly about a change of address, a change of receiving contact or a change of the person who places orders.

A buyer should keep any account reference confidential and should tell us at once if the buyer believes that the reference has been seen by another person. We handle buyer detail in the way described in our Privacy Policy.

6. Orders and Order Confirmation

An enquiry sent through the website or by email is an invitation to trade. It does not create a contract. A contract is created only when we issue a written order confirmation that states the lines, the quantities, the price and the provisional dispatch window.

We may correct an obvious error in an order confirmation before the goods are packed. If a correction changes a material term, we contact the buyer so that the buyer can confirm or withdraw the order.

A buyer who wishes to change a confirmed order should write to us as soon as possible. We will try to accommodate a change before the packing stage begins, but we cannot guarantee a change once a case has been built and straw-packed.

7. Sampling and Approved Samples

Our trading house works from physical samples. We present glassware, cutlery and table lines on a felt-lined tray so that a buyer can judge the rim, the weight, the polish and the finish before ordering.

When a buyer approves a sample, we record the approval against the trade account and keep the sample on file. A later order for the same line is checked against the approved sample so that the delivery matches what the buyer saw.

A maker row may alter a detail such as a mould, a tine or a handle profile from one production run to the next. We tell a buyer promptly if a material detail changes, and we offer a fresh sample where a change may affect the buyer decision.

8. Pricing, Currency and Taxes

Prices are quoted in the currency stated in the order confirmation. Unless the confirmation states otherwise, a price is quoted for the goods alone and does not include freight, insurance or any duty.

A price may change where the cost of a maker line changes, where a currency moves sharply or where a buyer requests a change to a confirmed order. We tell a buyer before we apply a change, and the buyer may withdraw the affected part of the order.

A buyer is responsible for any tax, duty or levy that applies in the destination region. We state the figures we know at the time of the order confirmation, but we cannot guarantee a figure that is set by another authority.

9. Payment Terms

Payment terms are stated in the order confirmation. A first order is normally settled before dispatch, and a returning trade account may be offered a short credit term.

Where a credit term applies, an invoice is due on the date stated on the invoice. We may charge a reasonable interest on a late payment, and we may pause a pending dispatch where an earlier invoice remains unpaid after a reminder.

A buyer should tell us about a disputed invoice item within a reasonable period of receiving the invoice. We investigate a dispute promptly and we do not apply interest to a genuinely disputed amount while the investigation is open.

10. Dispatch, Packing and Delivery

We case-pack wholesale orders in straw, label each case and dispatch to the buyer address stated in the order confirmation. A dispatch note lists the lines and the quantities so that the receipt can be checked against the order.

A dispatch window is an estimate, not a guarantee. A delay may arise from a maker run, a carrier schedule or a customs check. We keep a buyer informed of a material delay and we work to reduce it.

A larger order may be staged across several cases so that a single damaged carton does not hold up the whole delivery. A buyer should check each case on arrival and should note any visible damage on the carrier document before signing.

11. Quality Chip Checks

Before dispatch we run a chip check on the goods. Rims and bases are tapped, the weight is compared against the approved sample, and any piece with a nick, a cloudy patch or a wobble is pulled from the run.

We keep a written record of a batch that passes and of a piece that fails. The record allows us to answer a question about a delivery and to trace a fault back to a maker run where that is needed.

A chip check is an inspection of a sample from a batch, not an inspection of every single piece in a large run. We inspect a representative portion in proportion to the size of the order, and we increase the portion where a line has shown a fault before.

12. Returns, Claims and Replacements

A buyer should inspect a delivery promptly and should tell us about a shortfall, a fault or a mismatch within a reasonable period of receipt. We ask for the dispatch note reference and, where possible, a photograph of the affected piece.

Where a claim is justified, we offer a replacement, a credit or a refund, at the buyer choice where the law allows. We cover the return freight for a justified claim, and we ask the buyer to keep the affected goods available for inspection until the claim is closed.

We do not accept a claim for damage that was caused after delivery by handling, by an unsuitable washing cycle or by a use for which the line was not intended.

13. Title and Risk

Title in the goods passes to the buyer when we have received payment in full for the relevant order, unless the order confirmation states otherwise.

Risk in the goods passes to the buyer when the goods are handed to the carrier named in the dispatch note, unless the order confirmation states otherwise. A buyer who wishes to insure a delivery should arrange cover from the point at which risk passes.

Until title passes, a buyer holds the goods as a custodian and should keep them identifiable as our property.

14. Intellectual Property

The website and its content, including the text, the layout, the illustrations and the code, belong to Lianxin Taifu Company Limited or are used under a permission. These terms do not transfer any ownership of that content to a visitor.

A visitor may read the website and may print a single copy of a page for a genuine trade purpose. A visitor may not reproduce a substantial part of the website, may not present our content as that of another party and may not use our name in a way that suggests a partnership that does not exist.

A maker name or a brand that appears on the website remains the property of its owner. It is shown for identification only and does not imply an endorsement of our trading house by that owner.

15. Prohibited Conduct

A visitor or buyer must not misuse the website or our trade services. The following conduct is prohibited.

• Providing false detail in an enquiry, an order or an account application.
• Using another party name without authority.
• Interfering with the security or the availability of the website.
• Copying the website content for a competing catalogue.
• Using our contact tools to send unlawful, abusive or misleading material.
• Reselling a line in a way that misrepresents its origin or its quality.

We may suspend a service or close an account where we have a reasonable ground to believe that a prohibited conduct has occurred, and we may report a serious matter to the relevant authority.

16. Third Party Services and Links

We may rely on a third party for a service such as carriage, payment processing or website hosting. A third party service has its own terms and its own privacy notice, and those terms apply alongside ours.

The website may link to a third party page for reference. We do not control a linked page, and we are not responsible for its content, its accuracy or its availability.

17. Disclaimer of Warranties

We present the website and our catalogue with care, but we provide the website on an as available basis. We do not warrant that every page will be free of error or that the website will be available without interruption.

A product photograph or a description is provided to help a buyer understand a line. A physical sample remains the authoritative record of a line, and a buyer should rely on the approved sample rather than on a screen image.

To the extent allowed by law, we exclude a warranty that is not stated expressly in these terms or in an order confirmation. A statutory right that cannot be excluded is not affected by this section.

18. Limitation of Liability

Nothing in these terms limits a liability that cannot be limited by law, including a liability for fraud or for a matter that the law requires us to answer for in full.

To the extent allowed by law, we are not liable for a loss of profit, a loss of business, a loss of goodwill or an indirect loss that arises from the use of the website or from an order.

Where we are liable for a matter connected with an order, our total liability for that order is limited to the price paid for the affected goods, unless the order confirmation states a different figure.

19. Indemnity

A buyer agrees to indemnify Lianxin Taifu Company Limited against a claim, a loss or a cost that arises from a breach of these terms by the buyer, from false detail supplied by the buyer or from an unlawful use of the goods by the buyer.

This indemnity does not apply to the extent that a claim arises from our own negligence or from a breach of these terms by us.

20. Force Majeure

We are not liable for a delay or a failure that is caused by an event beyond our reasonable control. Such an event may include a natural disaster, a severe weather event, a labour dispute, a transport blockage, a failure of a utility or a change in the law.

Where such an event affects an order, we tell the buyer promptly, we work to reduce the effect, and we agree a revised dispatch window with the buyer where that is possible.

21. Suspension and Termination

We may suspend or close a trade account where a buyer breaches these terms, where an invoice remains unpaid after a reminder or where we have a reasonable ground to believe that a continued trade relationship carries an unacceptable risk.

A buyer may close a trade account at any time by writing to our desk. A closure does not affect an order that is already confirmed, and it does not remove a duty to pay an invoice that is already due.

22. Governing Law and Disputes

These terms are governed by the law of Hong Kong. A dispute that arises from these terms or from an order is subject to the courts of Hong Kong, unless a mandatory rule in the buyer region gives the buyer a different forum.

Before a formal step is taken, the parties should try to resolve a dispute in good faith through a written exchange. We answer a written concern at design@doristrade.mom, and we aim to reach a practical settlement where that is possible.

23. Changes to These Terms

We may update these terms from time to time. When we do, we publish the new version on this page and we update the effective date shown at the top.

A change applies to an order placed after the change takes effect. An order that is already confirmed continues to be governed by the terms that were in force when the order was confirmed, unless the parties agree otherwise in writing.
